Last updated: August 10, 2026

1. Agreement to Terms

By accessing or using the services provided by Igniter Digital ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

Igniter Digital provides digital marketing services including but not limited to:

  • Website design and development
  • Search engine optimization (SEO)
  • Social media marketing and management
  • Content marketing and creation
  • Pay-per-click advertising
  • Brand strategy and identity
  • Analytics and reporting

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for the performance of services
  • Respond to requests for information or approvals in a timely manner
  • Ensure all materials provided to us do not infringe on any third-party rights
  • Pay all fees and charges according to the agreed payment terms
  • Comply with all applicable laws and regulations

4. Hourly Rate for Out-of-Scope Work

Igniter Digital offers packaged service plans as described on our Pricing page. Any work requested outside the scope of a client's active service package — including but not limited to additional design revisions, custom development, one-time consulting, ad hoc content creation, or any other service not explicitly covered by the client's current plan — will be billed at our standard hourly rate of $100.00 per hour. Out-of-scope work will not begin until the client has been notified of the estimated hours and has provided written approval. Igniter Digital reserves the right to require a deposit before commencing out-of-scope work.

5. Managed Website Service Scope

The Managed Website service includes a defined allocation of production time each month, as described below. All pricing is inclusive of hosting fees — there are no separate charges for website hosting under any Managed Website plan.

5.1 Production Time Allocation

The following production time allocations apply to all Managed Website clients. Production time includes design, development, content updates, and any other billable work performed on the client's website within the applicable month.

  • Month 1 (Initial Build): 20 to 30 hours of production time. This period covers the design, development, and launch of the client's website.
  • Month 2 (Refinement): Approximately 10 hours of production time. This period covers post-launch refinements, revisions, and initial content updates.
  • Month 3 through Month 11 (Active Maintenance): 5 hours or fewer of production time per month. This period covers ongoing maintenance, minor updates, and routine content changes.
  • Month 12 and Beyond (Maintenance Rate): 1 hour of production time per month at the reduced maintenance rate. Clients with an active E-Commerce Add-On receive 2 hours of production time per month at the maintenance rate.

5.2 Unused Production Time

Unused production time does not carry over from one month to the next. Production time is allocated on a monthly basis and expires at the end of each billing cycle.

5.3 Additional Production Time

Any production work requested beyond the monthly allocation described in Section 5.1 is considered out-of-scope work and will be billed at the standard hourly rate of $100.00 per hour as described in Section 4, subject to written client approval.

5.4 Hosting Inclusion

Managed website hosting is included in all Managed Website plan pricing at no additional charge. Hosting fees are not billed separately at any point during the client's engagement, including during the initial build period, the active maintenance period, and the reduced maintenance rate period.

5.5 Website Build Cost Financing and Early Cancellation

The Managed Website monthly plan ($349/mo) is structured as a month-to-month service with no long-term contract. However, the monthly fee during the first 12 months represents the financed cost of designing and building the client's website, which has an equivalent upfront value of $3,995. By enrolling in the monthly plan, the client agrees to the following terms regarding the financed build cost:

  • The client is not locked into a contract and may cancel the Managed Website service at any time with 30 days written notice.
  • If the client cancels before completing 12 monthly payments, the remaining unpaid balance of the financed build cost becomes immediately due and payable. For example, a client who cancels after 6 months has paid $2,094 toward the $3,995 build cost and owes the remaining $1,901 upon cancellation.
  • The remaining balance is calculated as: $3,995 minus the total monthly payments made to date. Igniter Digital will issue a final invoice for the outstanding balance upon receipt of the cancellation notice.
  • After the client has completed 12 monthly payments, the financed build cost is fully satisfied. The client may then continue service at the reduced maintenance rate ($99/mo) or cancel at any time with 30 days notice, with no further financial obligation related to the website build.
  • This financing obligation applies only to the website build cost. It does not apply to any other services (SEO, Social Media Management, etc.) that may be bundled with the Managed Website plan.
  • Clients who pay the one-time upfront fee of $3,995 are not subject to this financing obligation and may cancel ongoing maintenance services at any time with 30 days notice.

6. Payment Terms

Payment terms are as specified in your service agreement or proposal. Unless otherwise agreed:

  • Invoices are due within 30 days of the invoice date
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for overdue accounts
  • All fees are non-refundable unless otherwise stated

7. Intellectual Property

Upon full payment, you will own all rights to the final deliverables created specifically for your project. However:

  • We retain ownership of all pre-existing materials, tools, and methodologies
  • We may use project work in our portfolio unless otherwise agreed
  • Third-party assets (fonts, stock images, etc.) remain subject to their original licenses

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of services.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the amount paid for the specific services in question
  • We are not liable for indirect, incidental, special, or consequential damages
  • We do not guarantee specific results from marketing activities
  • We are not responsible for third-party service outages or changes

10. Warranties and Disclaimers

We provide services on an "as is" basis. While we strive for excellence, we do not warrant that:

  • Services will be uninterrupted or error-free
  • Specific rankings, traffic levels, or conversion rates will be achieved
  • Third-party platforms will not change their algorithms or policies

11. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination:

  • All outstanding invoices become immediately due
  • We will provide all completed work and necessary access credentials
  • Confidentiality obligations continue to apply

12. Indemnification

You agree to indemnify and hold harmless Igniter Digital and its employees from any claims, damages, or expenses arising from your breach of these Terms or your use of our services.

13. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Hardin County, Tennessee.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

You may not:

  • Bid on Igniter Digital branded keywords in paid search.

16. Client Referral Program Terms

By participating in the Igniter Digital Client Referral Program (the "Program"), you agree to the following terms.

The Program is open to existing Igniter Digital clients in good standing. Self-referrals, referrals within the same company, and referrals already in active sales conversations do not qualify.

You will earn a one-time cash reward calculated as a percentage of the referred client's first payment, as shown in your dashboard. The percentage and maximum reward may be updated with notice.

14.3 Attribution

Referrals are tracked through your unique referral link. The referred client must sign a contract and make a first payment within the active cookie window. Igniter Digital's tracking data is final.

14.4 Reward Status

Rewards begin as Pending once a referral converts. They move to Approved after the referred client's first payment clears any refund or chargeback window. Approved rewards are paid on a regular schedule.

14.5 Payment

You are responsible for any taxes on amounts you receive. We may require a completed W-9 (US) or W-8BEN (non-US) before issuing your first reward.
